Magnitude Terms of Service

Agreement to Terms

By accessing or using Magnitude's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Magnitude Inc. ("Magnitude," "we," "us," or "our") provides a financial services platform. Magnitude is a financial technology company, not a bank. Magnitude has not yet launched banking services. When it does, banking services will be provided by one or more FDIC-insured partner banks, which we will identify before you open an account. Funds held at a partner bank will be eligible for FDIC insurance up to $250,000 per depositor, per insured bank, subject to applicable limits. Stablecoins, including USDC, are not bank deposits and are not FDIC insured.

Eligibility

To use Magnitude, you must:

Be at least 18 years old
Live in a country where the service you use is offered
Provide accurate and complete information during registration
Comply with all applicable laws and regulations

Magnitude Ultralight is a financial planning app. It does not hold, move or transmit money. It lets you plan your whole year in U.S. dollars, Brazilian reais, Mexican pesos or euros, and is offered in the United States, Brazil, Mexico and Spain. Magnitude Ultra and all banking, card and payment services are offered only to residents of the United States.

Account Registration

To access our financial services, you must create an account. You agree to:

Provide truthful, accurate, and complete information
Maintain and update your information as necessary
Keep your account credentials secure and confidential
Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

Financial Services

Banking services are not yet available. When they launch, we intend to offer them through one or more FDIC-insured partner banks. We expect them to include:

Deposit accounts held at a partner bank, eligible for FDIC insurance subject to applicable limits
A debit card, the Magnitude Card, issued by a partner bank
Electronic fund transfers
Account management tools

Before you open an account, we will identify the partner bank and give you its account terms, which will govern those services together with these Terms.

Prohibited Uses

You may not use Magnitude's services to:

Engage in illegal activities or violate any laws
Commit fraud or money laundering
Harass, threaten, or harm others
Interfere with or disrupt our services
Attempt to gain unauthorized access to our systems
Use our services for any business or commercial purpose without our written consent

Fees, Charges and Refunds

We may charge fees for certain services. All applicable fees will be disclosed to you before you incur them. You authorize us to deduct fees from your account balance.

Pre-orders. A pre-order is a single payment made before Magnitude launches. You may cancel your pre-order and receive a full refund at any time before launch, for any reason, by contacting us at legal@magnitude.money. After launch, pre-order payments are non-refundable; the membership purchased does not expire and is not billed again.

Intellectual Property

All content, features, and functionality of Magnitude's services, including but not limited to text, graphics, logos, and software, are owned by Magnitude Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNITUDE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Indemnification

You agree to indemnify, defend, and hold harmless Magnitude Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of our services or violation of these Terms.

Termination

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activity.

You may close your account at any time by contacting us. Upon termination, you must cease all use of our services.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. If you live outside the United States, nothing in these Terms limits the mandatory consumer protections of the country where you live.

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
